Wonder Electricals Approves Final Dividend of ₹0.10/Share at AGM

Wonder Electricals Limited announced the proceedings of its 16th Annual General Meeting (AGM), where shareholders approved a final dividend of ₹0.10 per equity share for the financial year ended March 31, 2025. The meeting was held on Wednesday, September 24, 2025, via video conferencing.

The shareholders also confirmed the interim dividend of ₹0.10 per equity share already paid during the financial year 2024-25.

During the AGM, the members approved the adoption of the audited financial statements for the year ended March 31, 2025, along with the reports of the Board of Directors and Auditors.

Yogesh Sahni, who retired by rotation, was re-appointed. Additionally, Harsh Kumar Anand, who also retired by rotation, was re-appointed.

The remuneration payable to the cost auditors for the financial year ending March 31, 2026, was ratified. The appointment of Rubina Vohra & Associates as Secretarial Auditor of the company was also approved.

The members also gave nod for increase in overall borrowing limits of the Company as per Section 180 (1)(c) of the Companies Act, 2013, creation of charge/mortgage on assets of the company under Section 180(1)(a) and increase the limits for loans, guarantees, securities and investments under Section 186 of the Companies Act, 2013 and to obtain approval to advance any loan/give guarantee/provide security under section 185 of the Companies Act, 2013.

The remote e-voting commenced on September 21, 2025, and concluded on September 23, 2025. Members who had not cast their votes via remote e-voting were given the opportunity to do so during the meeting. Rubina Vohra was appointed as the scrutinizer for the e-voting process.

The results of the voting, along with the consolidated Scrutinizer's Report, will be informed to the Stock Exchanges and placed on the company's website.

The meeting concluded at 12.35 P.M., with the Chairman thanking the members for their participation and support.
